Terms of Service
What this site is, what it is not, and how an engagement with uBuilt actually works. Short version: the site informs, a signed statement of work commits.
Template document - have counsel review before relying on it.
The site is not a contract
Nothing on ubuilt.app is an offer capable of acceptance. Work begins only when both sides sign a statement of work.
You own what we build
On full payment, the deliverables made for you are yours. We keep our own pre-existing tooling and general know-how.
Your code stays yours
Everything we see under an engagement is confidential. Any public write-up is anonymised, or does not happen at all.
Guidance is general
Checklists and articles here are informational. They are not a security assessment of your specific system.
1.These terms, and who they apply to
These terms govern your use of ubuilt.app (the “site”), operated by uBuilt (“uBuilt”, “we”, “us”). By browsing the site or submitting the contact form you accept them. If you do not, please stop using the site.
If you are using the site on behalf of a company, you confirm you are authorised to accept these terms for that company, and “you” means both you and it.
Our Privacy Policy explains what we do with personal information and forms part of these terms.
2.What this site is - and what it is not
ubuilt.app is a marketing and information site. It describes services we offer, the engineering problems we typically find in AI-built applications, and how to start a conversation with us.
Nothing on this site is an offer capable of acceptance. Service descriptions, deliverable lists, timelines, and process steps are illustrative summaries of typical engagements, not commitments. Submitting the contact form does not create a contract, does not reserve capacity, and does not oblige us to take the work on. We may decline any enquiry for any lawful reason, including that it is outside what we are good at.
Prices shown on the site - for example “$2,000+” for a scoped project or “from $499” a month for ongoing management - are starting points stated in US dollars, exclusive of any applicable taxes. The price for your work is the one written in your quote or statement of work, and nothing else.
3.How an engagement actually starts
The sequence is deliberately boring, and it is the same every time:
- A free call. No charge, no obligation on either side.
- A scoped audit or proposal. We look at what exists and write down what we would do, in what order, for what price.
- A signed statement of work. Only when both parties sign does work begin.
Every engagement is governed by that separate signed statement of work (“SOW”) together with any master services agreement, non-disclosure agreement, or data-processing agreement executed alongside it. Those documents set the scope, deliverables, fees, payment terms, acceptance criteria, warranties, and termination rights for your project.
Where anything in these site terms conflicts with a signed SOW or MSA, the signed document governs that engagement. These terms continue to apply to your use of the site itself.
4.What you send us through the site
When you submit the contact form, you confirm that:
- The information you provide is accurate and you are entitled to share it with us.
- You are not sending someone else’s confidential information, personal data you have no right to disclose, or material that infringes a third party’s rights.
- You are not sending live credentials. Do not paste API keys, service-role keys, database URLs containing passwords, or environment files into a web form. If you do, we will delete the message and ask you to rotate the credential.
Anything you send us before a confidentiality agreement is in place is treated with care but is best kept high level. We are happy to sign an NDA before you share anything sensitive - ask on the first call.
If you send us an unsolicited product idea, feature suggestion, or feedback about the site, we may use it without obligation or payment. This does not apply to work product or materials covered by an engagement or an NDA.
5.Acceptable use
You agree not to:
- Probe, scan, or test the vulnerability of the site or any related system without our written permission, or breach or circumvent any security or authentication measure.
- Interfere with the site’s availability - denial of service, flooding the contact form, or automated request volume that degrades it for others.
- Scrape or harvest content at scale, or reproduce substantial parts of the site elsewhere. Quoting a paragraph with a link back is fine and welcome.
- Use the contact form or any address on the site to send unsolicited commercial messages, recruitment spam, or automated pitches.
- Misrepresent an affiliation with uBuilt, or use our name or logo in a way that suggests partnership or endorsement that does not exist.
Good-faith security research is different. If you find a vulnerability in this site, email hello@ubuilt.app with enough detail to reproduce it. Give us reasonable time to fix it before disclosing, do not access or modify data that is not yours, and do not degrade the service. We will not pursue legal action over research conducted on those terms, and we will credit you if you want the credit.
6.Our intellectual property, and other people’s
The site - its copy, structure, design, illustrations, logo, and code - is owned by uBuilt or licensed to us, and is protected by copyright and other rights. You may read it, print it, and share links to it. You may not republish it as your own, resell it, or use it to train a model that reproduces it.
Names and marks belonging to other companies - including Lovable, Replit, Base44, Claude Code, Bubble, Supabase, Vercel, and any cloud provider we mention - are the property of their respective owners. We reference them descriptively, because that is what our clients build on. Their appearance on this site does not imply partnership, sponsorship, affiliation, or endorsement in either direction.
7.Ownership of what we build for you
This section describes our standard position. Your SOW may vary it, and if it does, the SOW wins.
- You own the deliverables. On receipt of full payment for the relevant work, all rights in the deliverables created specifically for you - custom source code, configuration, infrastructure-as-code, migrations, and written documentation - are assigned to you.
- We keep our pre-existing materials. Tools, scripts, audit checklists, templates, internal libraries, and methodology that existed before your engagement or were developed independently of it remain ours. Where any of it is embedded in a deliverable, you get a perpetual, worldwide, royalty-free, non-exclusive licence to use, modify, and sublicense it as part of that deliverable.
- We keep general know-how. Skills, experience, and general knowledge our engineers gain are not restricted by an engagement. We will not use your confidential information to do it.
- Third-party and open-source components remain governed by their own licences. We identify anything with a licence that could constrain your use before we introduce it.
- Publicity. We do not name clients or publish identifying details without written permission. Any case study we publish is an anonymised composite unless you have agreed otherwise in writing.
8.Confidentiality
Each party will keep the other’s confidential information confidential, use it only for the purpose it was shared, and protect it with at least the care it protects its own. Confidential information includes source code, credentials, architecture, roadmaps, customer data, financials, and the contents of an audit report.
These obligations do not apply to information that:
- Is or becomes public through no fault of the receiving party.
- Was already lawfully known to the receiving party without a duty of confidence.
- Is independently developed without using the other party’s information.
- Must be disclosed by law or court order - in which case the receiving party gives reasonable notice first, where it is lawful to do so.
Confidentiality survives the end of an engagement. A signed NDA takes precedence over this section for the matters it covers.
9.No warranty on the content of this site
The articles, checklists, guides, and service descriptions on this site are provided “as is” for general information. They are written from experience across many codebases, and they are not a security assessment, an audit, or professional advice about your specific system. Security and reliability are contextual: a control that is correct in one architecture is wrong in another.
To the fullest extent permitted by law, we disclaim all warranties in relation to the site, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability. We may change, move, or remove any content at any time, and we do not promise the site will always be available or error-free.
Nothing here guarantees an outcome. No engineering work can guarantee that an application will never fail, never be breached, or never exceed a cost estimate, and nothing on this site should be read as such a guarantee. Warranties that do apply to work we perform for you are the ones written in your statement of work.
10.Third-party links, platforms, and services
The site links to builder platforms, cloud providers, documentation, and other external resources. We do not control them and we are not responsible for their content, pricing, availability, security, or privacy practices. A link is a pointer, not an endorsement.
Your relationship with any platform or provider - including their terms, their fees, and their outages - is between you and them. If we recommend a provider during an engagement, the recommendation is based on your requirements and is not a warranty of that provider’s performance, and we have no commercial arrangement that makes the recommendation for us.
11.Limitation of liability
Nothing in these terms excludes or limits liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
Subject to that, and to the fullest extent permitted by law:
- We are not liable for indirect, incidental, special, consequential, or punitive damages arising out of your use of the site.
- We are not liable for loss of profits, revenue, business, data, goodwill, or anticipated savings, however caused.
- Our total aggregate liability arising out of or in connection with the site is limited to one hundred US dollars (USD 100).
- Liability arising out of an engagement is governed by the liability cap and allocation set out in your statement of work, not by this section.
You agree to indemnify us against claims, losses, and reasonable costs arising from your misuse of the site, your breach of these terms, or content you submit through it.
Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you. The rest still does.
12.Governing law and jurisdiction
These terms, and any dispute arising out of or in connection with them or the site, are governed by the laws of [GOVERNING JURISDICTION - insert the jurisdiction in which uBuilt is established], without regard to its conflict-of-laws rules. The courts of [GOVERNING JURISDICTION] have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court to protect its intellectual property or confidential information.
The bracketed text above is a placeholder. It must be replaced with the correct jurisdiction, and the surrounding wording checked against local consumer and commercial law, before these terms are relied upon.
13.General
- Severability. If any provision is found unenforceable, it is modified to the minimum extent necessary, and the rest remains in force.
- No waiver. If we do not enforce a right immediately, we have not given it up.
- Assignment. You may not assign these terms without our written consent. We may assign them as part of a merger, acquisition, or sale of assets.
- Entire agreement. For your use of the site, these terms and the Privacy Policy are the whole agreement between us. For an engagement, the signed SOW and its related agreements are.
- No third-party rights. No one other than you and uBuilt has the right to enforce these terms.
14.Changes to these terms
We may update these terms as the business changes. The “Last updated” date at the top of this page always reflects the current version, and the updated terms take effect when posted.
Changes are not retroactive: a signed statement of work is governed by the terms in force when it was signed, plus whatever that document says. If we make a material change to these site terms, we will note it clearly at the top of this page.
15.Contact
Questions about these terms, requests for an NDA, or anything else legal in nature go to hello@ubuilt.app.
If you would rather talk about the work itself, book a free call instead. That is a faster route to an answer.
Need an NDA before we talk?
Send yours over, or ask for ours. Either way it is signed before you share anything sensitive.
